Getting started

What does Minuted do?

Minuted is the registered and records office for BC and federal companies. We give your company its BC office address, keep the minute book and the registers the Act requires, file the annual report or return, track every deadline, and scan anything served or mailed to you the same business day. It is run by a practicing BC lawyer.

Do I really need a registered & records office?

Yes — every BC company must keep both at a BC address. The only question is whether it's your home (public, and it moves when you do), a law firm's binder, or Minuted.

What's the difference between a registered office and a records office?

Both are required and they are usually the same place. The registered office is where legal documents are served and the Registrar's notices go. The records office is where the company's statutory records are kept and available for inspection. Both must be in BC.

Do you incorporate my company?

No — and you don't need us to. You or your accountant incorporate online with BC Registries (or Corporations Canada) in about 20 minutes. Sign up first and we send you the exact address to enter as registered and records office, so Minuted is your office from day one. See just incorporated in BC.

I'm filing today. How fast do I get the address?

Your welcome email with the address arrives within one business day of signing up. If you're filing sooner, you can put your own address and we'll switch it afterwards for the $21.50 government fee.

Can the directors use your address too?

Yes. Directors' addresses are public as well, and you can use our office for them at no extra charge.

Do you need my BC Registries login?

No. Once we are your registered office we request access to the company in BC Registries and you approve it with one click.

Pricing and plans

How much does it cost?

Records Office is $249 a year plus tax ($278.88 with GST and PST): the office address, your opening minute book, the transparency register, the digital minute book portal, the annual report filed for you, deadline tracking and same-day scanning. Full Compliance is $399 a year plus tax ($446.88) and adds annual consent resolutions in lieu of an AGM, two register updates and two certified copies a year, and one dividend resolution a year. What are the government fees?

They are extra and charged at cost, with no markup: the BC annual report is $43.39, a change of office when you switch is $21.50, and the federal annual return is $12.

Will this really cost less than my law firm?

Almost always. Firms typically charge about $300 a year plus disbursements, with the annual report and resolutions billed on top. Minuted includes them, and the switch is free. See compare your options.

Can I use a virtual office as my registered office?

It can receive your mail, but a BC company also needs a records office where its statutory records are kept and available for inspection. A mail drop keeps no records, files nothing and prepares nothing, so on its own it doesn't do the job.

Switching to Minuted

What happens when I switch?

We prepare the change-of-office filing, you approve it, we file it — usually within two business days. Then we collect your records from your old provider, which takes as long as they take; the import is free.

Is switching free?

Yes, apart from the $21.50 government fee for the change-of-office filing. We prepare it, you approve it, we file it, and we collect your minute book from the previous provider at no charge.

Can I switch partway through the year?

Yes. We file the change of registered & records office, collect your minute book from the old provider, and pick up the annual report from the next anniversary. If a deadline is close, tell us and we'll prioritise it.

Can I leave?

Yes. Cancel your renewal any time before it occurs and your plan simply runs to the end of the paid year. There is no exit fee, we give you a complete electronic copy of your minute book at no charge, and we cooperate with the change-of-office filing to your new provider.

Mail and the address

Can the CRA and my bank write to me there?

Yes — letter mail only. We scan and email it the same business day, hold the originals, and forward them quarterly at $35 + tax per shipment on your label if you want them. We don't take parcels and we don't deposit cheques.

Will the address be public?

The registered office address is on the public registry — that is true of any address you use, which is one reason not to use your home. We never print our street address on this website; it is given to clients when they sign up.

Can I be the only director and live outside Canada?

For a BC company, yes. The Business Corporations Act has no residency requirement for directors. Keep the registered and records offices in BC, file the annual report, and the company is fine with you abroad. See leaving BC.

Annual reports

When is a BC company's annual report due?

Within two months after each anniversary of incorporation, starting the year after the company was incorporated. Extraprovincially registered companies count from their BC registration date instead. Check your company and due date free.

I've already missed this year's deadline. Can you still file it?

Yes, if the company is still on the register. Sign up, we become the registered office, and we file the overdue report along with the current one. If the Registrar has already dissolved the company, that's a restoration instead — $499 flat plus government fees.

Does the annual report cover my tax return?

No. The annual report goes to BC Registries and keeps the company in good standing. Your T2 corporate tax return and GST filings go to the CRA and are your accountant's job. You need both.

Minute books and registers

My minute book is empty — or I've never had one.

You're in the majority. Minute Book Rescue rebuilds what should exist for a flat $299, with a free health check first so you know exactly what's missing before paying anything.

My law firm has a binder. Do I still need Rescue?

Probably not. If a lawyer organized the company, the binder usually holds everything the Act requires. Switch to Minuted and we import it free, and the health check will flag anything that has lapsed since.

Who can see my transparency register?

Under the Act as it stands, nobody outside the company except those with a statutory right of inspection (for example, certain regulators). It is kept at our records office, never on the public registry. BC has legislated a public version that is not yet in force; when it takes effect we file it for you.

Federal and out-of-province companies

My company is federal (Corporations Canada). Can you act for us?

Yes. Federal companies need a registered office in the province named in their articles, and two annual filings instead of one — the Corporations Canada annual return and the BC extraprovincial report. We track and file both on either plan. If the company isn't registered in BC yet, we file the extraprovincial registration: included in Full Compliance, $99 plus tax on Records Office, with the $350 government fee at cost. Our company is from Alberta, Ontario or outside Canada. Can you be our BC attorney?

Yes. A company formed outside BC that registers here must name a BC attorney, and the New West Partnership doesn't change that for Alberta, Saskatchewan and Manitoba companies. A practicing BC lawyer acts as yours for $249 a year plus tax, and anything served on you is scanned and emailed the same business day. Sign up online.

Can you file the BC registration for us?

Yes, when we act as your BC attorney (federal companies: through either plan). The filing is a separate one-time service for $99 plus tax, plus the government fees at cost ($31.50 name request, plus $350 to register unless you're from Alberta, Saskatchewan or Manitoba). For a company from Alberta, Saskatchewan or Manitoba that comes to $146.16 in total; for a federal corporation, $502.88; from anywhere else, $538.16 (all including tax). Can we register in BC under a numbered name?

No. An out-of-province company registers in BC under its own name, reserved through a BC name request. A different name is allowed only if your own name isn't available in BC. We take care of the name request as part of the filing.

Legal work

Is this legal advice?

No. Minuted's plans are corporate records and filing services, and acting as a company's BC attorney is an administrative service. Neither creates a solicitor-client relationship. Legal work, such as a shareholders' agreement, is available separately under a written retainer with the operator's law practice.

Can you restore a dissolved company?

Yes. We restore BC companies that were dissolved, usually for missed annual reports, for $499 flat plus government fees. You get a free written plan first, and nothing is filed until you approve it. See company restoration.
