How this usually happens: miss two annual reports, and the Registrar can dissolve your company — often without anyone at the company noticing, because the notices went to an old address or an inbox nobody checks.
Most owners discover the problem at the worst possible moment — mid-sale, mid-loan, or mid-audit. While your company is struck off:
The good news: restoration is a well-worn path. A full restoration puts the company back on the register permanently, and the company is deemed to have continued in existence as if it had never been dissolved, subject to any rights other people acquired while it was off the register. A limited restoration brings it back only for a set period and purpose, such as selling an asset or dealing with a claim, after which it is dissolved again. Your plan says which one fits. The sooner you start, the simpler it is.
One flat fee, and a practicing BC lawyer does the work. Court-ordered restorations are quoted separately.
+ government fees, at cost
It depends on the route. A straightforward registrar restoration is usually a matter of weeks; a court-ordered restoration takes longer and is quoted separately. We give you a realistic timeline in your written plan before you commit to anything.
They're set by BC Registries and depend on the route and how many missed annual reports have to be filed alongside the restoration. We charge them at cost with no markup, and the exact figure is in your plan before you approve.
You can. Plenty of people do the straightforward ones. Where it gets expensive is choosing the wrong route, missing a required filing, or discovering after the fact that assets vested in the Crown. If your situation is simple, we'll tell you that in the plan.
Not necessarily — but time matters, and the route available to you can change depending on how long it has been. Send us the name and we'll tell you where you stand.
That's fine. The $499 restoration stands on its own. The ongoing plan is how we stop it recurring, but it isn't a condition of doing the work.
We'll check the registry, tell you exactly what happened and what it takes to fix it, and quote it in writing. No charge, no obligation.
